Terms of Service

Last updated: September 28, 2026

This document is provided as a plain-language draft and is not a substitute for advice from a qualified attorney, particularly regarding SMS/telemarketing law (TCPA) and data protection law (GDPR) in the jurisdictions you and your clients operate in.

1. Who you're contracting with

NexAgent is operated by Maher Gamal, an individual sole proprietor (enskild näringsidkare) based in Sweden. NexAgent is not a registered company — "NexAgent" is a trade name only. By subscribing, you are entering into this agreement directly with Maher Gamal. Because there is no company, he has unlimited personal liability for NexAgent's obligations: his own assets stand behind them, not a company's. That is about who is liable. How much can be claimed under this agreement is limited by section 9.

2. The service

NexAgent is a service for roofing contractors ("Client," "you") that: (a) provides a dedicated phone number that forwards calls to your mobile; (b) when a call to that number is not answered, tells the caller the message is recorded and sent to you, lets them leave a voicemail of up to 2 minutes, which is recorded and kept by our telephony provider, and emails you the caller's number and a machine transcript of the message, which can be inaccurate or empty; (c) when a call to that number registers as not answered, or someone texts that number, replies automatically by text with your booking link, so the customer can pick a time; the wording of that reply is written by artificial intelligence rather than taken from a fixed script, and it states that it is an automated assistant (section 7a); no text is sent to a number that cannot receive texts, such as a landline, and a call you decline, or one your phone sends to its own voicemail, can register as answered, in which case no text is sent; (d) can send an automated text message, after a job is marked complete, to a customer who first contacted you through that number, asking them to leave a Google review; (e) emails you the text of messages customers send to that number, up to 3 emails an hour and 10 a day per customer number and 100 a day in total; messages over those limits are recorded but not emailed; and (f) texts you, at most once a week, a short question about which of that week's leads booked or sold (section 5); what you answer is recorded on your leads list and used in your results page and monthly report.

NexAgent does not answer or speak on calls beyond a short automated voice message before the voicemail recording, does not book appointments or access your calendar, and does not carry on a text conversation: each customer receives at most one automatic reply in any 12-hour period, and messages they send after that are emailed to you to answer yourself. Those emails carry your customer's own words and tell you that an automatic reply was sent; they do not contain the text of the reply itself, so you do not see each message sent under your name.

NexAgent uses third-party telephony, messaging, and AI infrastructure providers to deliver the service. We select these providers carefully but do not control their uptime, and are not liable for outages or failures originating with them.

3. Free trial

New clients receive a 14-day free trial, which starts on the day your NexAgent number goes live. No payment card is required to start a trial. Seven days before the trial ends, we email you a secure link to add a card. If you add one, billing starts when the trial ends, as described in section 4. If you do not, the service simply stops when the trial ends, and you are never charged.

4. Fees and billing

Once you add a card, the service costs a flat $297/month. Your card is charged automatically on the day your trial ends, and again every month after that until you cancel. We email you the date of the first charge: in the reminder seven days before the trial ends if a card is already on file, or within a day of your adding a card if you add it later. There is no long-term contract.

Cancelling. You may cancel at any time, in either of two ways: online, through the secure billing link in your reminder emails, or by emailing mate@getnexagent.com. Cancelling stops all future charges. The service keeps running until the end of the period you have already paid for, and then stops. If you cancel before your trial ends, you are never charged.

Refunds. If you cancel within 7 days of your first paid charge, that charge is refunded in full and the service stops that day. After those 7 days, fees already paid are not refunded, including for a partial month.

5. Texting your customers — who is responsible for what

This is the most important section of this agreement. NexAgent sends two kinds of automatic text to your customers from your NexAgent number, under your business name: one reply to someone who has just called or texted that number, and one review request to a customer who first reached you through that number, only after you tell us you finished their job. No other customer is texted. Separately, NexAgent may text you, at the mobile number you gave us, at most one message a week, on Friday afternoon, listing that week's open leads by surname or the last four digits of their number and asking which booked or sold, plus a short confirmation of your reply. These texts are about your account, not marketing. Replying is optional, and replying STOP ends them. NexAgent is responsible for how the texts to your customers are sent: the automated-assistant notice, the STOP line, stopping texts to anyone who asks, and the texting-hours limits. By using the service, you represent and warrant that:

An unwanted or non-compliant text can expose both you and NexAgent to legal claims, including statutory damages of $500–$1,500 per message under the TCPA. NexAgent answers for its part: sending only the texts described above, in the way described above. You answer for the part only you control: that a job you mark finished was real, and that a customer who asked you to stop is passed on to us.

6. Acceptable use

You may not use NexAgent to contact anyone other than people who contacted your NexAgent number about roofing work, or your own customers about a job you did, for unrelated marketing, for harassment, or for any unlawful purpose.

7. No guarantee of results

NexAgent sends the text messages described in section 2. We do not guarantee any specific number of booked jobs, reviews received, or revenue outcome. AI-generated responses can be inaccurate — see section 7a. NexAgent does not book appointments and does not hold a calendar (section 2): a time is booked only through your own booking link, and confirming what you have agreed with your customer remains yours to do.

7a. AI-generated content, and what it can get wrong

The automatic reply NexAgent sends to your customers is drafted by artificial intelligence supplied by third-party model providers; the review request, and the fixed message described below, are not. AI makes mistakes. Output may be inaccurate, incomplete, out of date, or misleading, and it may be confidently specific and still be wrong. It is not a quote, not a commitment, not a diagnosis of a roof, and not professional advice.

The assistant is given only what you provide when your number is set up: your business name, your booking link, your Google review link, your after-hours line, and the list of jobs you do, in your own words. By giving us those you confirm they are correct and that the assistant may use them on your behalf. It answers a question about what work you do from that list and from nothing else, and it is instructed to state no other service, price or term of yours.

The assistant never tells a customer whether you cover their area, and never tells them you do not. Where a customer has not said where they are, it may ask for their city or address so that you can judge whether they are in range; what they answer reaches you in the email described in section 2, and the decision is yours.

These messages go out under your business name, but NexAgent does not send you a copy of each automatic reply, so you cannot read them before they go out; what reaches you is your customer's own message and notice that a reply was sent. NexAgent is responsible for keeping the assistant inside the limits in this section. You are responsible for keeping the details you gave us correct, for correcting anything wrong that comes to your attention, for telling us if the assistant should stop texting a customer, and for confirming appointment times, pricing, scope of work, and any other commitment directly with your customer before it is relied on.

NexAgent instructs the assistant to give no prices, no diagnoses, no timelines, no guarantees, and no confirmation that an appointment is booked, scheduled or confirmed — only your booking link books a time — and to say in its first message that it is an automated assistant. Some of those limits are also enforced outside the AI: a reply that names a price, a discount, a refund, a guarantee or a warranty, that says an appointment is confirmed, booked or scheduled, or that carries any link or phone number other than your booking link, is discarded and replaced by a fixed message that names your business and carries your booking link. The rest, including no diagnosis and no timeline, depend on the assistant following its instructions; those are safeguards, not guarantees, and an AI can disregard them.

To the maximum extent permitted by law, Maher Gamal is not liable for any loss, cost, dispute, or damage arising from your or your customer's reliance on AI-generated content that was not confirmed directly between you and your customer. You assume the risk of relying on AI-generated output without independently confirming it. This section is subject to section 9 and does not exclude any liability that cannot be excluded under applicable law.

8. Disclaimer of warranties

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, Maher Gamal's total liability arising out of this agreement will not exceed the fees you paid in the three (3) months prior to the claim. Neither party is liable for indirect, incidental, or consequential damages. This limit does not apply to harm caused intentionally or through gross negligence, or to any liability that cannot be limited by law.

10. Indemnification

You agree to indemnify and hold Maher Gamal harmless from any claim, fine, or legal action to the extent it arises from your breach of section 5 or 6 (for example, marking a job finished that you did not do, or not passing on a customer's request to stop), or from your violation of this agreement or applicable law. This does not cover a text NexAgent sent outside what section 5 describes.

11. Data

Information about what data is collected and how it's used is described in the Privacy Policy.

12. Governing law

This agreement is governed by the laws of Sweden, without regard to conflict-of-law principles. This does not limit any mandatory consumer-protection or data-protection rights you or your customers may have under the law of your own country, which cannot be waived by this agreement.

13. Changes to these terms

We may update these terms as the service evolves. Continued use after an update means you accept the revised terms. Material changes will be communicated by email.
